Terms of Service

These Terms of Service ("Terms") govern your access to and use of neu.seq products, including the website at neuseq.com and the application neu.daw at daw.neuseq.com (collectively, the "Service"), operated by Tim Petri ("we", "us", "our").

1. Agreement to Terms

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Service Description

neu.seq provides browser-based music creation tools. Our current product, neu.daw, is a Digital Audio Workstation (DAW) that provides multi-track audio editing, audio processing, and AI-powered music generation. The Service is currently in beta/MVP status, which means features may change significantly as we continue to develop the platform.

3. Account Registration

To use certain features of the Service, you must sign in using Google OAuth through our authentication provider, Clerk. By creating an account, you agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Notify us promptly of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

Access to the Service is currently invitation-only during the beta period. We reserve the right to limit or restrict account creation at our discretion.

4. User Conduct

When using the Service, you agree not to:

  • Upload malicious content, malware, or any material intended to damage or disrupt the Service
  • Attempt to gain unauthorized access to the Service, other user accounts, or our infrastructure
  • Use the Service for any illegal activities or in violation of applicable laws
  • Interfere with or disrupt the Service or servers and networks connected to it
  • Scrape, crawl, or use automated means to access the Service without our written permission
  • Circumvent access controls, usage limitations, or security features of the Service
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity

5. User-Generated Content

You retain full ownership of all audio, MIDI, and other content that you create, upload, or import into the Service ("User Content"). By using the Service, you grant us a limited, non-exclusive, royalty-free license to store, process, and display your User Content solely as necessary to provide the Service to you.

You represent and warrant that you have all necessary rights to any content you upload or import, and that your User Content does not infringe any third-party intellectual property rights.

6. AI-Generated Content

The Service includes AI music generation features powered by third-party providers, including Suno, Stability AI, and Udio. When using these features:

  • AI-generated music is created by sending your prompts and, where applicable, audio data to these third-party providers for processing
  • Rights to AI-generated content are subject to the terms of service of the respective AI provider used to generate it
  • We make no guarantees regarding the originality, uniqueness, or copyright status of AI-generated content
  • You are responsible for reviewing the applicable AI provider's terms of service before any commercial use of generated content
  • We are not liable for any claims arising from the use of AI-generated content

7. Intellectual Property

The Service, including its code, design, branding, and all associated intellectual property, is owned by Tim Petri and is protected by applicable intellectual property laws. The Service is provided to you for use, not for redistribution. You may not copy, modify, distribute, sell, or create derivative works based on the Service without our express written permission.

8. Service Availability

The Service is provided on an "as is" and "as available" basis. We do not guarantee that the Service will be uninterrupted, error-free, or available at all times. Specifically:

  • We may modify, suspend, or discontinue any part of the Service at any time, with or without notice
  • Scheduled and unscheduled maintenance may temporarily disrupt access
  • As the Service is in beta/MVP status, features may change significantly, be redesigned, or be removed
  • We are not liable for any loss or damage resulting from service interruptions

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • We are not liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service
  • Our total liability for any claims related to the Service is limited to the amount you have paid us for the Service in the twelve (12) months preceding the claim (the Service is currently provided free of charge)
  • We are not liable for any loss of data, including project data, audio files, or settings. You are responsible for maintaining your own backups of important data

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, if we reasonably believe that you have violated these Terms or that your use of the Service poses a risk to the Service or other users.

You may stop using the Service at any time. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will remain in effect.

12. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Thun, Canton of Bern, Switzerland.

13. Changes to These Terms

We reserve the right to update or modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
